These terms are a first draft and have not been reviewed by a lawyer. Items marked [TBD] or [To confirm] will be completed before they are published.

Welcome to Copywa. Copywa is an online service that helps brands produce marketing content, operated by [TBD: company legal name] ("we" or "us"). These terms are the agreement between you and us for using the Copywa website and product (the "Service").
By creating an account or using the Service, you confirm that you have read and agree to these terms and our Privacy Policy. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to accept these terms for it, and "you" includes that organisation. If you do not agree, please do not use the Service.
Copywa is in closed beta:
- features, the interface, credit rules and plans may be changed, paused or withdrawn at any time; we will try to tell you in advance in the product or by email;
- we do not offer any service level agreement (SLA); the Service may be interrupted, slow or produce errors;
- keep your own copies of important content; do not rely on the Service as your only archive.
- You must be at least [TBD: minimum age] years old and have the legal capacity to enter into these terms.
- During the beta we may close public sign-up and admit invited users only.
- You must give true and accurate sign-up information and keep your password and sign-in credentials safe. You are responsible for all activity under your account; tell us immediately if you believe it has been compromised.
- An account is for the person (or organisation) that registered it. You may not transfer, rent or sell it without our consent.
When using the Service you must not:
- create, upload, collect or publish content that breaks applicable law, including illegal, fraudulent, misleading, defamatory, pornographic, violent or hateful content, or content that invades someone's privacy;
- infringe other people's rights, including copyright, trademarks, image rights and personal information, for example by using someone else's work, brand or photos without permission;
- break the terms of service or community rules of the platforms you collect from or publish to (such as Xiaohongshu, WeChat Official Accounts or your WordPress host);
- send spam, manipulate platform metrics at scale, or otherwise abuse the Service;
- try to get around credit, plan or access limits, attack, disrupt or reverse-engineer the Service, or access data that is not yours;
- resell the Service or use it to build a competing product.
Collection: the collection features are for gathering public content for your market research and content reference. Rights in collected content (including any personal information in it) remain with the original authors or platforms. Use it lawfully and in moderation; do not republish it as-is, impersonate others, or use personal information in it for purposes beyond your marketing research.
Video captions: captions you pay to read are kept as your private reference material, for your own writing only. Rights in the captions remain with the original authors or platforms; do not republish or repost them as-is. You can delete them at any time. Reading them again costs credits again.
Publishing: by connecting a publishing channel such as a WeChat Official Account or a WordPress site, you authorise us to publish content to it on your instructions. You must have the right to use those accounts, and you are responsible for what is published.
- Ownership: as between you and us, you own the brand materials, assets and briefs you upload or create, and the drafts the Service produces on your instructions (subject to the law and to any third-party rights).
- Licence to us: to provide the Service, you give us a worldwide, royalty-free, non-exclusive licence to store, copy, process, transmit and display your content as needed to provide, maintain and improve the Service, including sending it to our service providers (such as AI model providers) for processing. This licence ends when you delete the content or close your account, except for copies we must keep by law or backups not yet cleared.
- Your promise: you confirm that you have the right to upload and use the content you provide, and that the content and your use of it do not infringe anyone else's rights.
- The Service uses third-party AI models to generate and process content. AI output may be inaccurate or incomplete, may resemble other people's content, and may not comply with a given platform's rules or advertising law.
- Always review AI output before you publish it. You alone are responsible for whether you use it, how you edit it and what you publish, including factual claims, product-benefit claims, prices and offers.
- We do not guarantee that AI output is protected by copyright, or that it is not identical or similar to third-party content.
- The proofreading features are an aid only and are not legal or compliance advice.
- Some features are charged in credits. Credits are a usage allowance inside the Service; they are not money and have no cash value, and cannot be withdrawn, exchanged or transferred to another account, except where the law requires otherwise.
- Before a task starts, the system holds an estimated number of credits; when it ends, the charge is settled on actual usage. The credits each feature uses are shown in the product.
- Credits may expire: credits granted monthly by a plan expire at the end of that month's period; credits given to new users, through promotions or granted manually by us expire on the date shown when they were granted; credits without an expiry date do not expire. Unused credits are void once they expire.
- There is no public pricing during the beta. We may adjust, pause or withdraw credits and plan allowances given during the beta, and will try to tell you in advance.
- If paid plans are introduced, prices, payment methods and refund rules will be those shown on the purchase page and in any separate terms at that time. [To confirm: add payment, auto-renewal and refund terms before paid plans launch]
The Service connects to third-party platforms and services (such as social platforms, publishing channels, data collection providers and AI model providers). We do not control them, and their availability, rules and changes may affect parts of the Service. When you use a third-party platform, its terms also apply to you.
Apart from your content, the Service itself (including its software, interface design, the Copywa name and logo, and built-in skills and templates) belongs to us or our licensors. These terms do not give you any rights beyond using the Service. We may freely use any feedback or suggestions you give us without paying you.
- You may stop using the Service at any time; to close your account, email hello@copywa.com.
- We may suspend or close your account, or remove content, if you breach these terms or the law, if your use puts the Service or others at risk, or if the law or a regulator requires it. Where we reasonably can, we will tell you in advance and explain why.
- After your account is closed you will no longer be able to access its content, and unused credits are void. We will handle your data as described in the Privacy Policy.
- Terms that by their nature should survive termination (such as retained parts of the content licence, the disclaimer, limitation of liability and governing law) continue to apply.
To the fullest extent permitted by law, the Service is provided "as is" and "as available". We make no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or the accuracy of AI output.
To the fullest extent permitted by law:
- we are not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, goodwill or data, or loss caused by content you publish or by penalties or bans imposed by third-party platforms;
- our total liability relating to the Service is limited to the amount you actually paid us in the 12 months before the event giving rise to the claim, or [TBD: cap amount] if you have paid nothing.
These limits do not apply to liability that cannot be excluded or limited by law, such as loss caused by our wilful misconduct or gross negligence.
If a third party makes a claim against us because of your content, your use of the Service or your breach of these terms, you will compensate us for the resulting losses and reasonable costs (including legal fees).
We may change these terms. For material changes, we will post the new version on the website and tell you in advance in the product or by email. If you keep using the Service after the changes take effect, you accept the updated terms; if you do not agree, stop using the Service and close your account.
These terms are governed by [TBD: governing law, e.g. the laws of the People's Republic of China, excluding Hong Kong, Macau and Taiwan]. The parties will first try to resolve any dispute arising from these terms or the Service through good-faith negotiation; failing that, the dispute will be submitted to [TBD: competent court or arbitration body]. [To confirm: whether users in mainland China and overseas users should have different governing law and dispute resolution]
If the law where you live gives consumers protections that cannot be excluded by contract, these terms do not affect those protections.
- If any part of these terms is found invalid or unenforceable, the rest remains in effect.
- If we do not exercise, or delay exercising, a right under these terms, we do not waive it.
- These terms are available in Chinese and English; if the versions conflict, the [To confirm: Chinese or English] version prevails.
